Resolution:
Run the NTDSUTIL directly from one of the 2003 domain controllers using the 2003 version of NTDSUTIL.

We were running ntdsutil on a windows 2008 server that was not a domain controller – an connecting to a 2003 domain and 2003 domain controller.
Bumped into this and thought it was a problem.. Still on W2k3 domain with 2k8 and w7. Thanks for the note.
